Business ethics & compliance

Core expectations for professional, lawful and responsible business conduct.

1. Purpose

Apodemus intends to build supplier and partner relationships on lawful, transparent and professional conduct. This statement summarizes the standards expected in business development and commercial relationships.

2. Anti-bribery and anti-corruption

Apodemus does not tolerate bribery, kickbacks, facilitation payments or improper inducements. Gifts, hospitality or expenses should never be offered or accepted where they could reasonably be understood as intended to improperly influence a business decision.

3. Conflicts of interest

Actual or potential conflicts of interest should be identified and handled transparently. Commercial decisions should be based on legitimate business considerations rather than undisclosed personal interests.

4. Competition law

Apodemus supports fair competition and does not seek agreements or information exchanges intended to unlawfully fix prices, allocate markets, restrict competition or coordinate competitively sensitive behaviour.

5. Sanctions, export controls and restricted parties

Where relevant to a transaction or territory, Apodemus expects compliance with applicable economic sanctions, export controls, import restrictions and restricted-party rules.

6. Human rights and responsible sourcing

Apodemus supports lawful working conditions, opposition to forced labour and child labour, and responsible business practices in supply chains. Where material risks arise, proportionate diligence should be considered.

7. Confidential information

Non-public supplier, partner and commercial information should be handled with appropriate care and used only for legitimate business purposes, subject to contractual and legal obligations.

8. Reporting concerns

Business-conduct concerns relating to Apodemus may be reported to development@apodem.us. Reports should be made in good faith and include sufficient information to permit responsible review.
